Terms & Conditions

These terms explain the rules for using Access402’s website, dashboard, adapters, managed x402 payment infrastructure, and discovery services.

These terms describe Access402’s current service. Enterprise order forms and other written agreements may include additional terms.

Agreement to these terms

These Terms and Conditions (the "Terms") govern your access to and use of the Access402 website, dashboard, adapters, APIs, payment infrastructure, discovery features, and related services (collectively, the "Service"). By creating an account, connecting an installation, or otherwise using the Service, you agree to these Terms.

If you use the Service for a company or other organization, you represent that you have authority to bind that organization. In that case, "you" includes both you and the organization.

If you do not agree to these Terms, do not use the Service. Additional written terms may apply to enterprise services, previews, or specific integrations. If those additional terms conflict with these Terms, the additional terms control for that service.

The Access402 service

Access402 provides infrastructure for configuring, presenting, verifying, settling, and recording x402 payment-gated access to websites, APIs, files, and other digital resources. WordPress and FastAPI are supported native adapters, and other adapters or integration methods may be introduced over time.

You choose which resources to protect and, subject to supported configurations, set the price, access behavior, environment, and publication settings. Access402 may use third-party infrastructure, including Coinbase services, to create or operate project wallet functionality and to facilitate payment verification and settlement.

The Service is infrastructure, not a marketplace seller, bank, investment adviser, escrow provider, or guarantor of your content, revenue, wallet value, or customer demand. Access402 does not provide legal, tax, accounting, or investment advice.

Accounts and eligibility

You must be legally able to enter into these Terms and meet the minimum age required in your jurisdiction. You must provide accurate account information and keep it current.

You are responsible for activity performed through your account and installations. Keep passwords, installation API keys, recovery methods, and connected accounts secure. Notify us promptly if you believe an account or credential has been compromised, and rotate or revoke affected credentials through the dashboard when available.

You may not transfer an account in a way that misrepresents who controls it, create accounts to evade limits or enforcement, or use another person’s account without authorization.

Your resources and customers

You retain responsibility for the websites, APIs, files, descriptions, prices, and other material you connect to Access402. You represent that you have the rights and permissions needed to publish, protect, sell access to, and process requests for those resources.

You are the party offering the protected resource to the payer. You are responsible for describing it accurately, setting lawful terms, delivering access after a valid payment, handling customer questions, and complying with consumer, privacy, tax, export, sanctions, intellectual-property, and other laws that apply to you.

Access402 generally stores configuration and operational metadata rather than the complete protected response. Your content remains hosted in the system where you publish it unless an integration expressly states otherwise.

Payments, wallets, and blockchain activity

Payments may use USDC or another supported asset on Base, Base Sepolia, or another supported network. Sandbox assets and transactions have no cash value. Availability of networks, assets, facilitators, wallets, and settlement methods may change as the Service develops.

Live blockchain transactions can be irreversible and may be publicly visible. You are responsible for reviewing your project, resource, network, amount, and wallet settings before enabling live mode. Access402 may reject or fail closed on a request when payment requirements do not match the authoritative server-side configuration, when usage limits are reached, or when verification or settlement cannot be confirmed.

Access402 may provide a project wallet through Coinbase-powered infrastructure or allow other supported wallet configurations. You are responsible for following any onboarding, identity, access, withdrawal, transfer, tax, or off-ramp requirements imposed by the relevant wallet or service provider. Bank payouts or fiat conversion are available only when expressly offered for your account; they are not implied by these Terms.

Network fees, provider fees, currency conversion, taxes, and other third-party charges may apply. Access402 is not responsible for changes in asset value, network congestion, delayed confirmations, unsupported transfers, or loss caused by an incorrect external transfer initiated by you.

Plans, fees, and usage limits

Features, included usage, billing cycles, prices, and overage treatment are described on the Pricing page or in your order form. A free plan does not guarantee perpetual free availability, and paid features may require a separate billing arrangement before they become available.

Usage is measured using Access402’s server-side records. Unless stated otherwise, a transaction counts toward an allowance when the Service records successful settlement. We may reserve usage while a settlement is in progress, release the reservation after a failed attempt, and use idempotency controls to prevent the same request from being settled more than once.

We may enforce account, plan, project, installation, and global safety limits. Requests may be denied when a limit is reached. You may not evade limits by creating duplicate accounts, installations, projects, credentials, requests, or payment identities.

Before introducing or changing a paid charge, we will present the applicable price or obtain agreement through an order form or billing flow. Except where required by law or expressly stated otherwise, fees already incurred are non-refundable.

Discovery and directory publication

If you enable discovery for a resource, you authorize Access402 to publish and transmit the resource metadata needed to make that endpoint discoverable, including to Access402’s directory and supported third-party x402 discovery services or bazaars. Published metadata may include the public resource URL, description, content type, price, network, asset, and payment requirements.

You can disable supported publication settings or remove a resource through the relevant adapter or dashboard controls. Removal from Access402 does not guarantee immediate removal from independent search engines, caches, agents, blockchains, or third-party directories that have already received the information.

You must not publish confidential information, credentials, personal data, unlawful material, or metadata you do not have permission to distribute through discovery features.

Acceptable use

You may not use the Service to violate law or another person’s rights; distribute malware; facilitate fraud, deception, money laundering, sanctions evasion, or unauthorized financial activity; sell access to stolen, infringing, exploitative, or unlawful material; probe or disrupt the Service; bypass security or usage controls; overload infrastructure; scrape non-public data; or misrepresent payment or access status.

You may not expose Access402 server credentials in client-side code, public repositories, WordPress responses, logs, or other public locations. You may not reverse engineer or misuse the Service except to the extent a restriction is prohibited by law or an applicable open-source license permits it.

We may investigate suspected abuse, restrict traffic, revoke credentials, remove discovery listings, suspend settlement, or cooperate with service providers and lawful authorities when reasonably necessary to protect users, third parties, or the Service.

Ownership and feedback

You retain ownership of your content, brands, and resource metadata. You grant Access402 a limited, non-exclusive, worldwide license to host, process, reproduce, transmit, and display that material only as needed to operate, secure, support, and improve the Service or to publish resources you have marked for discovery.

Access402 and its licensors retain all rights in the Service, including its software, design, documentation, branding, and aggregated or de-identified operational information. No rights are granted except those expressly stated in these Terms or an applicable open-source license.

If you provide feedback or suggestions, you permit us to use them without restriction or compensation, provided we do not identify you publicly as the source without permission.

Third-party services

The Service depends on or connects to third-party services such as blockchains, wallets, payment facilitators, hosting providers, authentication providers, adapters, and content-management systems. Your use of those services may be governed by separate terms and privacy policies.

Access402 does not control third-party networks or services and is not responsible for their availability, security, pricing, decisions, or actions. We may change providers or integrations, or discontinue support for a third-party service, when reasonably necessary to operate the Service.

Changes and availability

We may add, modify, suspend, or discontinue Service functionality. We aim to provide reasonable notice of a material discontinuation when practical, but urgent security, legal, network, provider, or operational changes may require immediate action.

Features identified as sandbox, beta, preview, experimental, or similar are provided for evaluation and may be incomplete, change without notice, or be subject to additional limits. Do not rely on sandbox or preview features for production value or critical operations.

You are responsible for maintaining appropriate copies of your resource configuration and content. Access402 does not guarantee uninterrupted operation, a particular settlement time, permanent compatibility with every adapter, or that every payer or agent will be able to discover or purchase a resource.

Suspension and termination

You may stop using the Service or delete your account through available account controls. Before deletion, withdraw or transfer any funds you control and preserve any records you need. Account deletion does not reverse blockchain transactions or remove records maintained by third parties.

We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay agreed fees, abuse provider infrastructure, or use the Service in a way that could harm Access402, users, or third parties. When reasonable, we will provide notice and an opportunity to remedy the issue.

Terms that by their nature should survive termination—including payment obligations, ownership, disclaimers, limitations of liability, and dispute provisions—will survive.

Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." Access402 disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, secure, or compatible with every resource, wallet, agent, plugin, provider, or network; that a transaction will settle; that protected content cannot be copied after access is granted; or that use of the Service will produce revenue or satisfy your legal obligations.

Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

Limitation of liability

To the maximum extent permitted by law, Access402 and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, digital assets, customers, or business opportunities, arising from or related to the Service.

To the maximum extent permitted by law, the total liability of Access402 and its suppliers for all claims arising from or related to the Service will not exceed the greater of the amount you paid Access402 for the Service during the three months before the event giving rise to the claim or 100 US dollars.

These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot legally be limited.

Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Access402 and its personnel from claims, damages, losses, liabilities, and reasonable expenses arising from your resources, your customers, your violation of these Terms or law, your infringement of another person’s rights, or your misuse of the Service.

We will provide reasonable notice of a covered claim and allow you to control its defense, subject to our right to participate with counsel of our choice. You may not settle a claim in a way that admits fault by or imposes obligations on Access402 without our written consent.

General terms

Our Privacy Policy explains how Access402 handles personal information and is incorporated into these Terms. If a provision of these Terms is unenforceable, it will be modified only as much as necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver.

You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Service. Neither party is liable for delay caused by events beyond its reasonable control.

These Terms are governed by the laws applicable in the jurisdiction where the Access402 service operator is established, without regard to conflict-of-law rules. Courts with lawful jurisdiction over that operator and the dispute will have exclusive jurisdiction, unless applicable consumer law requires otherwise.

Changes to these terms

We may update these Terms as the Service, providers, pricing, or legal requirements change. We will post the revised version here and update the date above. If a change materially affects your rights, we will provide additional notice when required.

Your continued use of the Service after revised Terms take effect means you accept them. If you do not agree to a material change, you must stop using the Service before it takes effect.
